Switch 98 and XP drives

Hi. I just got an XP system with a 40 G drive. I want to move my 60 G (on W98) drive over and make it the XP drive, and have the 40 G drive boot on 98 for some DOS games I still play, and other programs that I love that don't work on XP. I was able to get the 98 drive to boot up as the master, but when I tried to format the 40 gig drive, it wasn't recognized at all by DOS, 98, or FDISK. I'm assuming Dell went ahead and made it NTFS.

What I want to do is this:
Format D: (40 gigs)
Install 98 on D:
Install XP on C: and make the system Dual Boot. (am willing to format if neccessary)

How can I get the 40 gig drive to be recognized and formatted in FAT 32?
