a. Very few. b. No good ones at this time excepting the need for development, testing, etc.
This isn't really a question about Business Documents, Copyright Law, Contracts, Non-Compete issues though ... but the subject clearly indicates this is a question about operating systems in the enterprise :\

It's very costly to upgrade only to find that one multibillion dollar critical application doesn't work properly. To be honest, I think there are more companies upgrading from 2000 to XP than there are, at this time, upgrading from XP to Vista. That trend will continue for a while. I doubt we'll see a user base in the enterprise world with Vista for at least another 1.5-2 years.
