Arrow Selling Source Code

Hi,

1st I'm not sure if this is considered price-fixing, if it does please ignore this message:

We've been asked by a client to sell our CMS source code:
1. we don’t want this code to reach our competitors.
2. we're thinking of charging x% of the original contract value for the sc, is this how it's done?

What's your question? If it wasn't in the original contract you have no obligation to sell it if you've met all the other terms of your agreement. If you do sell it, charge whatever you want. How is what done? Client gives you money, you give client source code. You will want an additional agreement with client regarding what the client may do with that code (modify it for their own use but not resell it nor give it away presumably).

I agree with the above poster. When you say your client - this implies that you have a relationship with the client. Did you create this CMS for them? If so, usually they have access to the source code if they have FTP access.

But what did the contract say?

To summarize what others are saying, if you own the code you set the price and terms of sale. If the client owns the code (which they often do when done under contract), then they don't have to pay you separately for it.
