Website Contracts

Good Evening Folks,

I am considering a partnership on developing a website.
The partnership will be a 50-50 partnership.

My end of the bargain is developing content for the page,
while the other party will work on promotions and advertising.

The other party currently owns the site and has developed it so far,
I trust the other party, however does anyone have any advice
on a contract we might agree to or similar.

I should mention we live and work on different continents.

Write content and license it to your partnership company. Then, if you would ever part, you can take away the content or still ask an annual fee for it. Copyright it to your own name.

I'd avoid any 50-50 companies. If you disagree, no one is in charge to make the decision and the relationship ends badly.

Make sure your partnership contract has buy-out clauses, describes how to mediate any dispute between the parties, defines the responsibilities and rewards for each party.

To create a great partnership agreement, approach it from the point of view that the relationship will go badly. That way, you make sure all the ins-and-outs are discussed while the relationship is still smooth. Even if the relationship turns out to be wonderful, a great contract is your best investment at this stage.

Each of you should find a good attorney to get the contract in place. If you think the contract isn't worth doing, then the relationship is probably not going to be profitable enough to worry about doing either.
