what is the difference b/w the two? if i create a website, how is creating a new website underneath that different from creating a virtual directory?

What are you using to create the new website? If you create a new web with something like Frontpage, FP automatically creates the new virtual directory.
If you're on a server and create a new website, you have the ability to give each website a different IP (amongst other things).
