New board not POSTing

Sorry if this is a repeat, but it seems that problems like this can seem similar but are in reality very different. First of all my system specs:

Board:ASUS A8V-VM SE with integrated video
Proc:Athlon 64 (forgot the speed but was bundled with the board)
PSU:Ultra 600W X-Finity
Memory:1GB PC-3200 DDR 400MHz

all this stuff is right out of the box, I recieved the mobo and proc first and tested it with my old system, it seems the power wasn't sufficient as everything would spin up but turn off after 10 seconds, this problem has been alleviated with the new PSU. I sent the board back to get tested and it came up find, but I guess the CPU is still suspect. Now it powers up but there is no POST beep, the fans keep on going till I do a hard reset with the power button or just cut the power manually.
The board is mounted on 4 metal risers and 2 plastic legs.
Any help would be appreciated here. New hardware should work!

I had that and it was because the board wouldn't recognise the memory.

I used some different memory to update the BIOS on the board and then I was able to boot with the original memory.

It certainly should but remember that not all motherboards will make a beep when the boot up nowadays.
