Unhappy Please Help Mobo/processor Problem

having megga problems fetting computer to function I INSTALLED A GIGABYTE GA-7N400E-L MOTHERBOARD AND A NEW ATHLON XP+ 2800 333 FSB PROCESSOR, COOLER SYSTEM FAN AND 400WATT POWER SUPPLY.ALSO 521MB/333 DDR CRUCIAL MEMORY.AND A MSI FX550 VGA CARD
THE SYSTEMS BOOTS UP PAST THE BIOS DETECTING ALL THE DRIVES AND CD`S KEEPS GOING AS IF TO START WINDOWS THEN SAYS THAT THERE WAS A POWER FAILURE OR A PROBLEM WITH EITHER SOFTWARE OR HARDWARE .
I GET 5 OPTIONS
1.START IN SAFE MODE
2.START WITH SAFE MODE WITH A NETWORK
3.START WITH DOS
4.USE THE LAST KNOWN CONFIGRATION
5.START WITH WINDOWS
I HAVE TRIED ALL 5 OPTIONS THE SCREEN GOES BLANK AS IF IT IS LOADING THEN A BLUE SCREEN FLASHES UP WITH SOME TEXT ON IT IT IS TO FAST TO READ THEN THE COMPUTER JUST RESETS AND STARTS AGAIN..I HAVE FITTED THE HEATSINK THE CORRECT WAY ALSO HAVE PUT OM PASTE ON THE BOTTOM OF THE COPPER CORE.
I WOULD BE MOST GRATEFULL FOR SOME HELP HERE

You've plugged in the cpu fan to the correct spot?
Do you have another psu to try? Its saying you have a power failure, so try a different power supply.

I have tried another power supply it still does the same ???

Thats not a power supply problem its windows xp protecting your files. you will have to re-install windows xp!

When windows xp is installed it also installs drivers for the mainboard and cpu, so when it is changed you will have to reinstall windows. Boot from windows xp installation cd
