upgrading to a socket 754

I am currently looking into buying the following m/b

Code:
Gigabyte GA-K8VT800 PRO Socket 754 K8T800 Gigabit Lan Firewire 1394 USB2 FSB800 Serial ATA133

This will be coupled with the following

Code:
Ebuyer 1GB DDR PC3200 400MHz 184pin Extra Value Ram
AMD (Clawhammer) Athlon 64 3700+ 2.4ghz 1mb L2 Cache 754pin Retail Boxed Processor With 3 Year Warranty and Fan Included

what would be the general opinion about the above selections
