problems with ICS on 2 computers

hi.. i have two computers both with win ME. i am trying to set up ICS on both coms without any router. My main com has 2 lan cards, 1 connected to an ethernet dsl modem, and 1 to the other com. is this set-up correct?

Heres another problem, i have installed mirosoft ICS on my main com, BUT, i can't install it on the other com. This happens. i install microsoft ICS from the "add-remove program" /communications.. and it asks a few questions. it then prompts for a restart. i restart the com, but after restarting, ICS is not installed.. .. there is no icon on the task bar and when i check communications again, microsoft ICS is unchecked.

any help is appreciated...thx
